Terms of service

These Terms of Service ("Terms") form a binding agreement between you and FIRM AI, Inc. ("HomeworkGrader," "we," "us," or "our") and govern your access to and use of homeworkgrader.com and any related applications (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

You must be at least eighteen (18) years of age to use the Service. If you are using the Service on behalf of a school, district, or other organization, you represent and warrant that you have authority to bind that organization to these Terms.

The Service uses artificial intelligence to read uploaded homework images or PDFs and produce a grading result, including per-problem verdicts and an overall score.

The Service is provided as a tool to assist educators. The educator is responsible for reviewing every grading result before relying on it for any consequential decision, including recording grades or providing feedback to students. We make no guarantees regarding educational outcomes.

Grading results are produced by automated artificial-intelligence systems. These systems can make mistakes, including incorrectly transcribing student work, misidentifying problems, or assigning incorrect verdicts. You should treat all output as a draft and review it before use. You are solely responsible for any decision you make based on output from the Service.

You retain all rights in the homework images, PDFs, rubric text, and other materials you submit to the Service ("Your Content"). You represent and warrant that you have all necessary rights and permissions to upload Your Content, including any consents required to share student work with a third-party service provider.

You grant us a limited, worldwide, non-exclusive, royalty-free license to host, transmit, process, display, and otherwise use Your Content solely as necessary to provide and maintain the Service for you. This license ends when Your Content is deleted from the Service.

Your use of the Service is also governed by our Acceptable Use Policy, which is incorporated into these Terms by reference. Violation of the Acceptable Use Policy is a violation of these Terms.

If the Service requires an account, you agree to provide accurate registration information, to keep your credentials confidential, to be responsible for all activity occurring under your account, and to notify us promptly at support@homeworkgrader.com of any unauthorized access.

Some features of the Service may be offered on a paid basis. Any applicable fees, billing terms, refund policies, and trial terms will be presented to you before you incur a charge. You are responsible for any taxes associated with your purchase, except for taxes based on our net income.

The Service, including its software, design, text, graphics, logos, and trademarks, is owned by FIRM AI, Inc. or its licensors and is protected by copyright, trademark, and other laws. Except for the limited license granted in these Terms, nothing in these Terms grants you any right or license to our intellectual property.

If you send us feedback, suggestions, or ideas about the Service, you agree that we may use that feedback for any purpose without obligation to you.

The Service relies on third-party providers, including cloud hosting and AI processing. We are not responsible for the acts or omissions of these providers, except as required by applicable law or set forth in our agreements with them.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; OR THAT GRADING OUTPUT WILL BE ACCURATE OR COMPLETE. THE SERVICE USES ARTIFICIAL INTELLIGENCE, WHICH MAY PRODUCE INACCURATE OR UNEXPECTED RESULTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FIRM AI, INC. OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to indemnify, defend, and hold harmless FIRM AI, Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) Your Content, (b) your use of the Service, or (c) your breach of these Terms.

You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or if we determine the suspension or termination is necessary to protect the Service, our users, or third parties.

The following provisions survive termination: Your Content and License to Us, Our Intellectual Property, Feedback, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and any other provision intended by its nature to survive.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you consent to personal jurisdiction there.

We may revise these Terms from time to time. When we do, we will update the "Last updated" date above. Material changes will be communicated through the Service or by email where reasonable. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of those changes.

These Terms, together with our Privacy Policy and Acceptable Use Policy, are the entire agreement between you and us regarding the Service. If any provision is held to be unenforceable, the remaining provisions will remain in full effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms without our written consent; we may assign them in connection with a corporate transaction.
